1. Acceptance of Terms
By accessing or using the services provided by Strato Labs Inc. (“Company,” “we,” “us,” or “our”), including our website at strato.do and any related software, applications, or services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Strato Labs provides software development services, including but not limited to engineering, infrastructure, and product development. The specific scope, deliverables, and timelines for any project will be defined in a separate statement of work or service agreement between you and the Company.
3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services. By using the Services, you represent and warrant that you meet these requirements.
4. User Accounts
If you create an account with us, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
5. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in the Services, including but not limited to software, designs, trademarks, and content created by Strato Labs, remain the property of Strato Labs Inc. Ownership of work product created for clients will be governed by the applicable service agreement.
6. Client Responsibilities
You agree to:
- Provide accurate and complete information necessary for us to perform the Services.
- Cooperate with us in good faith and respond to reasonable requests in a timely manner.
- Ensure that any materials you provide do not infringe on the intellectual property rights of any third party.
- Comply with all applicable laws and regulations in connection with your use of the Services.
7. Payment Terms
Payment terms, including fees, billing schedules, and payment methods, will be specified in the applicable service agreement. Unless otherwise stated, all fees are non-refundable, subject to our Refund Policy. Late payments may be subject to interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is less.
8. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other party in connection with the Services. This obligation does not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Strato Labs Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to the Services. Our total aggregate liability for any claim arising out of or related to these Terms shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.
10. Warranty Disclaimer
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
11. Indemnification
You agree to indemnify, defend, and hold harmless Strato Labs Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
12. Termination
Either party may terminate the engagement by providing written notice as specified in the applicable service agreement. We reserve the right to suspend or terminate your access to the Services immediately if you breach these Terms. Upon termination, all provisions that by their nature should survive will remain in effect, including intellectual property, confidentiality, limitation of liability, and indemnification.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in California.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised “Last updated” date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
